Terms of Service

These Terms of Service (“Terms”) govern your use of Shipcut, operated by [LEGAL ENTITY NAME] (“Shipcut,” “we,” “us”). By creating an account, you agree to these Terms.

1. The Service

Shipcut generates AI-created carousel and video content from product photos and brand guidelines you provide, and publishes that content to your connected Instagram, TikTok, and YouTube accounts on a schedule you set.

Nothing publishes without approval. Every generated set of content enters an Approval Inbox and requires an explicit approve action from you or a team member before it is scheduled to publish. If you enable “auto-approve” mode for a brand, you are explicitly opting out of manual per-set review for that brand, and you accept responsibility for content published under that setting as if you had reviewed it yourself.

2. Your Account

You're responsible for keeping your login credentials secure and for all activity under your account, including actions taken by team members you invite. You must provide accurate account information and keep it up to date.

3. Your Content and Ownership

You retain ownership of the product photos, brand materials, and other content you upload (“Your Content”). You grant Shipcut a license to use Your Content solely to generate and publish content on your behalf, as described in Section 1.

You are responsible for having the rights to any content you upload. Don't upload product photos, brand assets, or other material you don't have permission to use.

Generated content. Subject to your subscription remaining active and these Terms, you own the carousels, videos, and captions generated for your approved sets, and may use them beyond the platforms Shipcut publishes to.

4. Acceptable Use

You agree not to use Shipcut to generate or publish content that:

  • Is illegal, fraudulent, or infringes on someone else's intellectual property
  • Violates the platform terms of Instagram, TikTok, or YouTube (each platform's policies apply independently of these Terms)
  • Is deceptive, discriminatory, or promotes hate speech, violence, or harassment
  • Involves regulated categories (e.g., pharmaceuticals, financial products, content directed at children) without appropriate compliance review on your end

We reserve the right to suspend accounts that violate this section.

5. AI-Generated Content Disclaimer

Content is generated using third-party AI models (see our Privacy Policy for the list of providers). AI-generated content can be imperfect, unpredictable, or occasionally inaccurate in ways that aren't obvious at a glance. The approval step exists precisely so a human reviews content before it goes live — we strongly recommend you use it. Shipcut is not liable for consequences of content published under auto-approve mode, or for approved content that turns out to be inaccurate, off-brand, or otherwise unsuitable, since a human had the opportunity to catch it.

6. Third-Party Platforms

Publishing depends on Meta, TikTok, and YouTube's APIs remaining available and your connected accounts remaining in good standing with those platforms. We are not responsible for publishing failures, account suspensions, or policy changes originating from these third-party platforms.

7. Subscription and Billing

Shipcut is billed on a subscription basis (Starter $19/mo, Pro $49/mo, or as shown at checkout). Subscriptions renew automatically until canceled. You can cancel anytime from your account settings; cancellation takes effect at the end of the current billing period. [FILL IN: refund policy]

8. Termination

You may cancel your account at any time. We may suspend or terminate your account for violations of these Terms, non-payment, or abuse of the service. On termination, we will retain your data per our Privacy Policy's retention terms before deletion.

9. Limitation of Liability

To the maximum extent permitted by law, Shipcut is provided “as is.” We are not liable for indirect, incidental, or consequential damages arising from your use of the service, including lost revenue, lost engagement, or account penalties imposed by third-party platforms. Our total liability for any claim is limited to the amount you paid us in the [3] months prior to the claim.

10. Indemnification

You agree to indemnify Shipcut against claims arising from Your Content, your violation of these Terms, or your violation of any third-party platform's policies.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice before taking effect.

12. Governing Law
